Notice of Constitutional Update and Incorporation
The MKHA Constitution, originally adopted on 18th September 1989 and amended on 29th June 1997, is now due for a fundamental update. This update is essential to enable our charity to transition into a Charitable Incorporated Organisation (CIO).
Why Incorporation Is Necessary
Our plans to raise funds for a permanent centre through Silver Lotus require forming a trading subsidiary. However, our current unincorporated charity structure does not allow ownership of a trading subsidiary company. Incorporation as a CIO resolves this limitation, ensuring legal and financial protections for the charity and facilitating effective governance.
Steps to Incorporation:
- Adoption of a New Constitution:
- A new Constitution, based on the Charity Commission’s model, is necessary for registration as a CIO.
- Minor adjustments have been made to suit the unique needs of our organization.
- The draft has been approved by the Management Committee and will be submitted to the Charity Commission for final registration.
- Formation of the New Charity:
- Upon approval, a new CIO will be formed, and all assets of the current charity will be transferred to the new entity.
- Once the transfer is complete, the existing charity will be dissolved.
- Formation of a Trading Subsidiary:
- The new CIO will establish a subsidiary trading company to manage the operations of Silver Lotus to Trade.
